Terms of Service — RestockIQ

These Terms of Service ("Terms") govern access to and use of the RestockIQ inventory-planning app ("RestockIQ", the "Service"), operated by Aerel Systems ("we", "us"). By installing or using RestockIQ on your Shopify store ("you", the "Merchant"), you agree to these Terms.

1. The Service

RestockIQ reads your Shopify order history to compute per-SKU demand forecasts and reorder recommendations, and provides inventory, purchase-order, supplier, and reporting tools. Features available depend on your subscription plan.

2. Data protection

Our processing of personal data is governed by our Privacy Policy and, for personal data you control, our Data Processing Agreement, each of which is incorporated into these Terms by reference. By accepting these Terms you also accept the DPA.

In summary: RestockIQ processes order line items only to provide inventory forecasting, stores no customer-identifying data (no name, email, phone, or address), does not sell data, and deletes all of your data within 30 days of uninstall.

3. Your responsibilities

You are responsible for:

• maintaining your Shopify account and any required scopes/permissions;
• the accuracy of the data in your store that RestockIQ reads;
• ensuring you have a lawful basis and appropriate customer-facing notices for the processing RestockIQ performs on your behalf (see the DPA); and
• your use of RestockIQ's forecasts and recommendations in your business decisions.

4. Subscriptions and billing

Paid plans are billed through Shopify Billing at the price and interval shown in the app, following any free trial. Plan changes and cancellations are handled in-app and are subject to Shopify's billing terms. Fees are non-refundable except where required by law.

5. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorized access, disrupt the Service, or use it in violation of applicable law or Shopify's terms.

6. Intellectual property

We retain all rights in the Service and its software. You retain all rights in your store data. We claim no ownership of your data.

7. Forecasts — no warranty of outcomes

RestockIQ's forecasts and reorder suggestions are estimates generated from historical data and are provided for planning purposes. We do not guarantee their accuracy or any business outcome, and you are responsible for your purchasing decisions.

8. Warranties and disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the three (3) months preceding the event giving rise to the claim.

10. Term and termination

These Terms apply while RestockIQ is installed. Either party may terminate at any time by uninstalling the app. On termination, your data is deleted per §2 and the DPA. Sections that by their nature should survive (e.g. 6–9, 11) will survive termination.

11. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes to the Terms will be reflected in the "Last updated" date and, where appropriate, communicated to Merchants. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of France, without regard to conflict-of-laws rules. The courts of France will have exclusive jurisdiction, subject to any mandatory consumer or local-law protections.
